   All book debts, cash, business contracts, creditors, liabilities, tax; and any other assets not comprising the sale assets due and owing by the Transferor in respect of the business of producing and processing of breakfast cereals and extruded snacks up to the date of the transfer as set out above, shall be received and paid by the Transferor.

   Liability

   Save as specifically provided in the agreement, the Transferee will not assume nor is intended to assume any liabilities incurred by the Transferor in the business up to the date of the transfer.

   Noncompletion

   If the Agreement is not completed this notice shall be void ab initio and shall be of no effect.
